Terms of Use

Elyra is an interface for the AI agents you already use, with your own accounts: we do not sell AI or tokens. You are responsible for what you tell the agents to do. Every plan has a 7-day withdrawal period with a full refund. Founder is a one-time payment and lasts for as long as Elyra exists. Your projects, conversations and keys stay on your computer.

The essentials, before you buy

  • Elyra is an interface. It organizes, launches and displays the AI agents you already use (Claude Code, Codex, OpenCode and others), with your own accounts and subscriptions. We do not sell AI, do not resell tokens and are not responsible for what AI providers do or fail to do.
  • You are responsible for what you tell the agents to do, including in automatic modes that skip your approval at each step. Keep backups and use version control.
  • AI providers have their own rules. Using Elyra does not change the terms you accepted with them. If a provider limits or suspends your account, Elyra cannot reverse it.
  • 7-day withdrawal period, on every plan: if you change your mind about the purchase within 7 days, we refund 100% of the amount paid.
  • Founder is a one-time payment and lasts for as long as Elyra exists as a product. If it is discontinued, you get advance notice and one of the compensations in clause 8.
  • Each license works on up to 2 devices.
  • Your data stays on your computer. Code, conversations and keys are not sent to us (see the Privacy Policy).

1. Who we are

Elyra is developed and licensed by ElyraLabs ("we", "us").

Our official support channel is contato@elyra.sh. We confirm receipt of every request and reply within 5 calendar days.

2. Acceptance and who may use Elyra

By creating an account, activating a license, subscribing to or using Elyra, you state that you have read and accept these Terms, the Privacy Policy and the Purchase, Fair Use and Refund policies, which detail them. If you do not agree, do not use Elyra.

Elyra is intended for people aged 18 or over. If you use Elyra on behalf of a company, you state that you have the authority to accept these Terms on its behalf, and "you" then includes that company.

3. Definitions

  • Application or Elyra: the Elyra ADE desktop software and its components (including the `elyra` CLI), its updates, the elyra.sh website and the app.elyra.sh dashboard.
  • Account: the registration that identifies you and holds your license.
  • License: the authorization to use the Application under clause 5.
  • Active device: a computer linked to your License.
  • Third-Party Agent: any AI tool from another company that Elyra launches, displays or integrates, such as Claude Code, Codex, OpenCode, Gemini CLI or Cursor.
  • Provider: the company responsible for a Third-Party Agent or an AI model.
  • User Content: your files, code, notes, conversations, prompts, settings and any data you create or process in Elyra.
  • Experimental Feature: a feature marked in the Application as experimental, beta, preview or "in development".

4. What Elyra is — and what it is not

Elyra is a development environment that brings together a canvas, chat, terminal, browser and editor, and that launches and orchestrates Third-Party Agents installed and authenticated by you, with your own accounts.

Elyra does not provide AI models, does not sell access to them, does not broker or resell Provider tokens or credits, and does not control the content the models generate. An agent’s response is produced by the Provider you chose.

This applies to the product as it is today. If we ever offer a service that includes AI provided by us, it will have its own terms, shown before purchase.

5. License to use

As long as you comply with these Terms and your plan is active (for Founder, while clause 8 is in force), we grant you a personal, non-exclusive, non-transferable and non-sublicensable license to install and use the Application on up to 2 active devices (Brazilian Software Law, Lei 9.609/1998, art. 9).

You can deactivate a device in the dashboard and activate another at any time. The license is checked by our servers: the Application keeps working offline for up to 24 hours after the last check.

The license belongs to one person. You may not assign, share or lend the Account or License to other people; when a company buys, each authorized person needs their own license.

  • You may not: resell, rent or sublicense the Application or the License;
  • remove copyright or trademark notices;
  • bypass license verification or the device limit;
  • reverse engineer, decompile or disassemble the Application, except to the extent expressly permitted by law;
  • use our code to build a competing product.

6. Open source components

The Application contains open source components, each governed by its own license. Nothing in these Terms restricts the rights those licenses grant you.

7. Account and security

Keep your registration details accurate and your password confidential. You are responsible for the use of your Account, unless unauthorized access results from a failure on our part.

If you suspect unauthorized use, let us know immediately at contato@elyra.sh.

8. Founder plan

Term. Founder is purchased with a one-time payment and entitles you to the License, the features of the Elyra core and its updates for as long as Elyra is developed and sold by ElyraLabs or its successor. There is no monthly fee and no renewal. That is what "pay once" means at Elyra: access lasts as long as the product exists.

What it includes. The same features as the Monthly and Annual plans, with the same number of devices. It does not include separate products that ElyraLabs may launch under another name, or third-party services with variable costs offered separately, such as infrastructure hosted by us or AI credits.

If Elyra is discontinued. If we decide to end the development and sale of Elyra with no successor, we will give at least 90 days’ notice and offer, at your choice: (a) a final version of the Application that works without relying on our license servers, for use with no time limit; or (b) a prorated refund of the amount paid, calculated over 60 months from the purchase and adjusted for inflation.

Sale or merger. If Elyra passes to another company, Founder goes with the product and the successor takes on this clause.

Limited offer. Founder is sold in a limited, numbered batch; the quantity and sale period are shown on the pricing page. A seat reservation is only valid once confirmed in writing through our official channels, with a payment deadline.

9. Plans, price and payment

Plans. We offer Monthly (a monthly subscription), Annual (one year paid upfront) and Founder (a one-time payment, clause 8). The price, what each plan includes and the conditions are shown on the pricing page before purchase and in the order summary. The Purchase Policy details each one.

"Unlimited". When we say the plans have unlimited features, we mean Elyra’s features (projects, workspaces, terminals and cards), limited only by your computer’s capacity. This does not include the use of AI models, which depends on your plan with each Provider and the limits it imposes.

Payment. We accept credit cards (processed by Stripe) and Pix and Pix Automático (processed by Woovi). We neither receive nor store your card number.

Renewal. Monthly renews on its own every month, with the same payment method, until you cancel. Annual by card renews on its own every year; Annual paid by Pix does not renew on its own — you choose to renew. If an automatic renewal fails, access continues for a 7-day grace period while the payment is retried.

Price changes. We may change prices for future periods, with at least 30 days’ notice by email. The new price only applies from the first renewal after the notice, and you can cancel before it at no cost. The price of a period already paid does not change.

Discounts, coupons and free periods apply under the conditions and for the time stated in the offer itself. The free period is one per person.

10. Right of withdrawal (7 days)

You can withdraw from any purchase made on the website or in the Application within 7 days, without giving a reason (Brazilian Consumer Protection Code, Código de Defesa do Consumidor, art. 49). This applies to Monthly, Annual and Founder. The deadline counts from the first payment: for Monthly and Annual, from the first paid charge on the Account (with a free period, it happens at its end); for Founder, from its payment.

Switching from Monthly to Annual is a new contract and has its own 7 days, counted from that payment. If you withdraw within that period, we refund the amount charged for the switch and you go back to Monthly until the end of the period you had already paid.

To withdraw, use the Request a refund button under Account → Billing or write to contato@elyra.sh. We confirm receipt of your request.

We refund 100% of the amount paid, through the same payment method: a Pix return to the original account or a card reversal, which we report to the card network at the time of the refund. How long the credit takes to appear on your statement depends on the card issuer.

Once the withdrawal is complete, the License for that purchase is deactivated — except for the switch to Annual, where you go back to Monthly.

11. Cancellation and refunds after the 7 days

  • Monthly: you cancel whenever you want, in the dashboard. Access continues until the end of the month already paid and there is no new charge. The current month is not refunded.
  • Annual: you cancel whenever you want. Access continues until the end of the year already paid, with no prorated refund.
  • Founder: after the 7 days of art. 49, there is no refund, except under clauses 8 and 20.
  • Our failure: if the Application has a defect that prevents use and is not fixed within 30 days of your report, you can cancel with a prorated refund, without prejudice to your other rights under the Consumer Protection Code.
  • Improper charges, or duplicate ones, are refunded on any plan, at any time.

12. Third-party agents and services

To use Third-Party Agents you need an account and plan with each Provider, and you must accept and comply with each one’s terms of use. These Terms do not change, extend or replace the Providers’ terms.

Risks you take on. Providers may, at any time and at their own discretion, change or discontinue their tools, impose or change usage limits, restrict the use of your subscriptions outside their official apps, and suspend or close your account. We do not guarantee that a Provider allows, or will keep allowing, a given use of your account through Elyra. No one on the team or in the community is authorized to guarantee otherwise.

We maintain integrations through the official means Providers make available (CLIs, SDKs and documented protocols). We may change or remove an integration if a Provider asks us to or if we believe it has come to conflict with its terms.

Multiple accounts. Elyra lets you add more than one account per Provider and switch between them. Using multiple accounts, or switching between them to keep working when one hits its limit, may be prohibited by some Providers’ terms. Check each one’s terms before doing so.

Third-party trademarks. Claude, Codex, Gemini, Cursor and the other names mentioned are trademarks of their respective owners, used only to indicate compatibility. ElyraLabs is not affiliated with, sponsored by or endorsed by these Providers.

Local reading of other tools. Some features read, on your computer, files from other tools: the CLIs’ session history, project files from other environments (importers) and Provider credentials (usage meters and account switching). This reading happens on your computer, when you use the feature, and that content is not sent to us.

13. Agent actions and permission modes

Agents run commands, edit and delete files, access the internet and can operate on remote machines over SSH, according to your instructions and the permissions you choose. Decisions made by AI models belong to the Provider, and you should review the result.

Automatic modes. Modes such as "auto", "accept edits" or "bypass permissions" skip your approval at each step. By turning them on, you accept that the agent may take destructive actions without confirmation.

Essential recommendations: use version control (git) and backups; run agents in project folders, worktrees or isolated machines; do not give agents production credentials unless needed; review what is about to be published (push, deploy, sending emails).

Files Elyra writes outside the app. So that agents know about Elyra’s features, the Application installs instructions and skills in the Third-Party Agents’ configuration folders and, when you connect a machine over SSH, on that machine.

We are liable for defects in the Application itself as provided by law. We are not liable for damage caused solely by the Provider’s conduct or by the instructions and settings you chose (Brazilian Consumer Protection Code, art. 14, § 3, II).

14. Acceptable use

You may not use Elyra to:

  • break the law, infringe third-party rights or violate the terms of use of Providers and other services, including to bypass limits, quotas or blocks they impose;
  • develop or distribute malware, or attack, break into or overload third-party systems without authorization;
  • test the security of ElyraLabs’ infrastructure outside the rules in Annex II;
  • resell or share the License beyond what clause 5 allows;
  • interfere with the operation of the license service, the dashboard or other people’s Elyra Cloud.

15. Your content and your data

User Content is yours. We acquire no rights over it.

Sessions, history, notes and settings stay on your device (or on the machine you choose for Elyra Cloud). We have no access to this content and therefore cannot recover it if it is lost. Backups are your responsibility.

Notes created on the Canvas may be saved in the project folder and so end up in your git repository. Do not record secrets in notes in versioned projects.

How ElyraLabs processes personal data (account, license, telemetry, error reports, downloads and community) is described in the Privacy Policy.

16. Elyra Cloud

Elyra Cloud runs on a computer or server you choose, and you are responsible for that machine’s security, availability and costs.

When you enable remote access, you expose your session to anyone who has the access credentials. Protect the address and the credentials.

If we offer a version of Cloud hosted by us, it will have its own terms, shown before purchase.

17. Suggestions and feedback

We welcome ideas, bug reports and suggestions, sent through the app, by email or in the community. By sending them, you authorize us to use them, free of charge and with no obligation of credit or confidentiality, to improve Elyra. This does not transfer to us any rights over code, text or other works of yours that you did not send as a suggestion.

18. Intellectual property

The Application, the source code, the Elyra brand, the logos, the website and the documentation belong to ElyraLabs or its licensors and are protected by Brazilian law (Lei 9.609/1998, Lei 9.610/1998 and Lei 9.279/1996). The License does not transfer any of these rights to you.

19. Updates and product changes

The Application receives frequent updates, which may be installed automatically. We publish the changes at elyra.sh/changelog.

We may improve, change or remove features. Experimental Features are offered for testing and may change or be removed without notice.

20. Removal of an essential feature

If we remove an essential feature from a paid plan in a way that substantially reduces what you purchased, you can cancel and receive a prorated refund of the unused period. For Founder, the proration follows the criterion in clause 8.

We do not guarantee uninterrupted operation. Support is provided through the channel in clause 1 and through the community.

21. Liability

We are liable for damage caused by defects in the Application under the Brazilian Consumer Protection Code and applicable law.

We are not liable for damage arising solely from: (a) content generated or actions taken by Third-Party models and Agents; (b) unavailability, rule changes, limits or account suspensions by Providers; (c) instructions, permissions and settings you chose, including in automatic modes; (d) failures of your machine, network, operating system or Elyra Cloud server; (e) use in breach of these Terms.

Business customers. When the customer is a legal entity that uses Elyra as an input to its business, ElyraLabs’ total liability, for any cause, is limited to the amount the customer paid in the 12 months before the event, and does not cover lost profits, except in cases of willful misconduct or gross negligence. This clause does not apply to consumers.

22. Suspension and termination

You can close your Account at any time by asking at contato@elyra.sh.

We may suspend or terminate your License in case of a serious breach of these Terms, fraud, a payment dispute or an order from an authority. As a rule, we warn you first, with the reasons and time to fix it.

Exceptions where suspension is immediate, with notice afterward: fraud; serious and imminent risk to third parties or to the infrastructure; and a payment dispute with your bank (chargeback) — while it is open, the License is suspended; if the bank confirms the charge was legitimate, the License is restored; if the payment is reversed, the License is terminated.

If the License is terminated for your breach, there is no refund, without prejudice to consumers’ legal rights.

23. Official communications and community

The official information on prices, plans, features and dates is what is published on the website, in the dashboard and in the changelog.

The community (such as the WhatsApp group) is a space for conversation between users and the team and follows the Community Rules (Annex I). The community’s automated assistant is an AI tool that can make mistakes: its answers are not an offer or official information from ElyraLabs.

24. Changes to these Terms

We may update these Terms. Material changes are announced by email and in the app at least 30 days in advance and take effect at the first renewal after that period ends; for Founder and Annual by Pix, which do not renew on their own, at the end of the notice period. If you do not agree, you can cancel before then, at no cost.

The date of the current version appears at the top of this page.

25. Governing law and jurisdiction

These Terms are governed by the laws of Brazil.

The courts of the consumer’s place of residence have jurisdiction. For customers that are legal entities, the courts of the district where ElyraLabs has its head office.

Before going to court, you can contact us at contato@elyra.sh. This is your option, never a requirement.

Annex I — Community Rules

They apply to the WhatsApp group and to any other official Elyra community space, for everyone — the team included.

  • Respect. No personal insults, derogatory nicknames, jokes about physical characteristics, sexual content, discrimination or hate speech.
  • No party politics and no promotion of betting, gambling or income schemes.
  • No content that teaches or encourages violating other services’ terms: buying and selling accounts, sharing accounts, bypassing Provider limits or blocks, and the like.
  • No piracy: do not ask for or share software, music, video or courses without the owner’s authorization.
  • Do not post API keys, tokens, passwords or personal data, yours or anyone else’s. If you post one by accident, revoke the key right away.
  • Bugs and suggestions go through the app. Sensitive content goes by email, not in the group.
  • Found a security flaw? Do not exploit it. Follow Annex II.
  • The team commits to keeping official announcements separate from the conversation, not promising dates, prices or features outside official announcements, and moderating with a clear rule: on the first occurrence, a warning; on the second, temporary removal; in serious cases, immediate removal.
  • The group’s automated assistant uses third-party AI to answer messages where it is mentioned and may log bug reports with your name and number. Its answers are not official and may contain errors.

Annex II — Vulnerability disclosure

  • Scope: the Elyra Application, elyra.sh and app.elyra.sh. Third-party services (such as Vercel, Supabase, GitHub and the AI Providers) and the community are out of scope.
  • How to report: write to contato@elyra.sh with a description, steps to reproduce and the impact. Do not disclose publicly before we fix it or before 90 days have passed since the report.
  • Rules: do not access, change or delete other people’s data; use only your own accounts; stop testing and tell us as soon as you get unexpected access; no denial of service, social engineering or physical testing.
  • Our commitment: confirm receipt, keep you informed and take no action against anyone who reports in good faith and within these rules.
Terms of Use — Elyra
